Larissa is a law clerk in the firm’s Capital Markets Group. She has experience with co-ordinating prospectuses and continuous disclosure filings, including preparing and organizing documents to be filed. Larissa assists with the preparation of annual financial filings, liaises with securities regulators on a range of issues and handles insider reporting and early warning filing reports on SEDI or SEDAR. She also conducts research on securities requirements, filing fees, issuer fees and Canadian Exchange policies.
Larissa is skilled in preparing and filing exempt trade reports and has a high level of knowledge pertaining to securities practice laws, including the Ontario Securities Act and the National Instruments, Forms and Policies. She is also experienced in all aspects of corporate law, including incorporations, amendments, amalgamations, continuances and dissolutions. Larissa assists with various registrations such as limited partnerships, business names and extra-provincial filings, share provisions, due diligence, minute book reviews and related remedial work. Her expertise includes corporate law matters governed by various statutes and regulations, including the Business Corporations Act (Ontario), the Canada Business Corporations Act and the Limited Partnerships Act (Ontario).
